Umowa powierzenia przetwarzania danych osobowych
Obowiązuje od: 5 października 2026
Niniejsza umowa powierzenia przetwarzania danych osobowych (dalej: Umowa Powierzenia) stanowi integralną część Ogólnych warunków i licencji aplikacji Owlix (dalej: Umowa Główna), zawartych pomiędzy Owlix B.V., De Werf 15, 2544 EH Haga, numer KvK 93197292 (dalej: Owlix), a użytkownikiem aplikacji Owlix (dalej: Użytkownik).

Artykuł 3 – Przedmiot, charakter, cel i czas przetwarzania

- Owlix przetwarza Dane osobowe wyłącznie w zakresie niezbędnym do wykonania Umowy Głównej.
30 ust. 2 RODO) i udostępnia go Użytkownikowi na żądanie.

- Bezpieczeństwo, zgłaszanie naruszeń i ocena skutków – Owlix pomaga Użytkownikowi wypełnić obowiązki z art.
- Owlix stosuje odpowiednie środki techniczne i organizacyjne chroniące Dane osobowe przed utratą i przetwarzaniem niezgodnym z prawem, uwzględniając stan wiedzy technicznej, koszty wdrożenia oraz charakter i ryzyko przetwarzania (art. 32 RODO).
- W pierwszej kolejności Owlix udostępnia posiadaną dokumentację, raporty i certyfikaty.
- Użytkownik chroni dane logowania i nadaje dostęp do konta wyłącznie osobom uprawnionym.
- Użytkownik zwalnia Owlix z odpowiedzialności wobec osób trzecich w zakresie, w jakim wynika ona z naruszenia przez Użytkownika obowiązków z ust. 1-3.
Artykuł 14 – Czas trwania i zakończenie
28 ust. 7 i 8 RODO, klauzule te zastąpią sprzeczne z nimi postanowienia Umowy Powierzenia z chwilą ich wejścia w życie.
- Do Umowy Powierzenia stosuje się prawo niderlandzkie; spory rozstrzyga sąd w Hadze.
- Umowa Powierzenia jest udostępniana w języku polskim, niderlandzkim i angielskim.

Effective from: 5 October 2026
This data processing agreement (the DPA) forms an integral part of the General Terms and Licence for the Owlix Application (the Main Agreement), concluded between Owlix B.V., De Werf 15, 2544 EH The Hague, Chamber of Commerce (KvK) number 93197292 (Owlix), and the user of the Owlix application (the User). The DPA applies from the moment the User accepts the Main Agreement.
The parties record that:
- The User uses the Owlix application on the basis of the Main Agreement.
- In using the application, the User enters personal data into it – their own data and that of their employees, clients and business partners. In relation to that data the User is the controller and Owlix is the processor.
- In relation to the User’s account data and Owlix’s relationship with the User (registration, billing, contact, security, own marketing), Owlix is a separate controller – the DPA does not cover this; the rules are described in the privacy policy available at www.owlix.com.
Article 1 – Definitions
- GDPR – Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016.
- Personal Data – personal data that Owlix processes on behalf of the User under the Main Agreement, as specified in Annex 1.
- Processing – any operation performed on Personal Data, including collection, storage, organisation, consultation, transmission, erasure and destruction.
- Data Subject – the natural person to whom the Personal Data relates.
- Sub-processor – a provider whose services Owlix uses in processing Personal Data.
- Personal Data Breach – a breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorised disclosure of, or access to, Personal Data.
- Accounting Firm – the accountant or accounting firm to which the User has granted access to their account.
Article 2 – Scope and precedence
- The DPA applies to all Processing of Personal Data by Owlix on behalf of the User under the Main Agreement.
- As regards the processing of personal data, the provisions of the DPA take precedence over the Main Agreement.
Article 3 – Subject matter, nature, purpose and duration of the Processing
- Subject matter and purpose: the Processing takes place solely for the purpose of providing the User with the services described in the Main Agreement – maintaining their company’s records in the application, including issuing and sending documents, keeping cost and mileage records, generating reports and making documents available to the Accounting Firm designated by the User.
- Nature of the Processing: operations performed automatically in Owlix’s IT systems, as specified in Annex 1.
- Types of data and categories of Data Subjects: Annex 1.
- Duration: for the term of the Main Agreement, subject to the retention periods in Annex 2.
Article 4 – Owlix’s obligations
- Owlix processes Personal Data solely on documented instructions from the User. The Main Agreement, the DPA and the actions performed by the User in the application are deemed to be such instructions.
- Owlix does not take independent decisions about the purpose of the Processing and does not use Personal Data for its own purposes. The User’s data and documents are not used to train artificial intelligence models. Owlix may use only aggregated and anonymised data for the development and maintenance of its services.
- If Owlix considers that an instruction from the User infringes the GDPR or other data protection legislation, it will inform the User without delay.
- Owlix processes Personal Data only to the extent necessary to perform the Main Agreement.
- Only persons who need it to perform their duties have access to Personal Data. Those persons are bound to confidentiality – including after their engagement with Owlix ends.
- Owlix maintains a record of categories of processing activities carried out on behalf of the User (Article 30(2) GDPR) and makes it available to the User on request.
- If a public authority requires Owlix to disclose Personal Data, Owlix will – unless prohibited by law – inform the User within 7 working days and before complying with the request, so as to allow the User to take legal measures.
Article 5 – Access by the Accounting Firm
- If the User grants an Accounting Firm access to their account, Owlix makes Personal Data available to the Accounting Firm on the User’s instructions, within the scope of the permissions granted by the User.
- An Accounting Firm that receives the User’s documents processes them as a separate controller – on its own responsibility and in accordance with its own obligations, including its record-retention obligation. Owlix is not a processor acting on behalf of the Accounting Firm in respect of documents the Accounting Firm has received.
- Withdrawal of access by the User takes effect for the future and does not cover documents previously provided to the Accounting Firm.
- Owlix logs the Accounting Firm’s access events to the User’s account and makes that information available to the User on request.
Article 6 – Sub-processors
- The User gives Owlix general authorisation to use Sub-processors. The current list of Sub-processors is set out in Annex 4 and is available on request at info@owlix.com.
- Owlix concludes an agreement with each Sub-processor imposing obligations no less protective than those under the DPA.
- Owlix informs the User of any intended addition or change of a Sub-processor at least 14 days in advance – in the application or by e-mail.
- The User may raise a reasoned objection within that period. If the parties cannot find a solution, the User may terminate the Main Agreement with effect from the date of the intended change, and is entitled to a refund of the fee for the unused period.
- Owlix is liable for the acts of Sub-processors as for its own.
Article 7 – Assistance to the User
Taking into account the nature of the Processing and the information available to it, Owlix assists the User in fulfilling the User’s obligations:
- Rights of Data Subjects – Owlix provides functions in the application allowing the User to view, correct, export and delete data themselves. Where this is not sufficient, Owlix provides reasonable technical assistance. If a request from a Data Subject is addressed directly to Owlix, Owlix does not respond to it itself but passes it on to the User without delay.
- Security, breach notification and impact assessment – Owlix assists the User in fulfilling the obligations under Articles 32-36 GDPR, including by providing the information needed for a data protection impact assessment (DPIA) and for any consultation with the supervisory authority.
- The assistance described in paragraphs 1 and 2 is free of charge to a reasonable extent. Owlix may charge the User for assistance going beyond that extent, subject to prior agreement.
Article 8 – Personal Data Breaches
- Owlix informs the User of a Personal Data Breach without undue delay and no later than within 48 hours of becoming aware of it – so that the User can meet the 72-hour deadline for notifying the supervisory authority.
- The information covers – to the extent available to Owlix – the nature of the breach, the categories and approximate number of Data Subjects and data records concerned, the likely consequences and the measures taken or proposed to address the breach.
- If full information is not immediately available, Owlix provides it in stages, without undue delay.
- The User informs Owlix of any breach of which they become aware concerning data processed in the application – without undue delay and no later than within 48 hours.
- The obligation to notify the supervisory authority and to communicate the breach to Data Subjects rests with the User as controller. Owlix does not make such notifications on the User’s behalf unless the parties agree otherwise.
Article 9 – Security
- Owlix applies appropriate technical and organisational measures to protect Personal Data against loss and unlawful processing, taking into account the state of the art, the costs of implementation and the nature and risk of the Processing (Article 32 GDPR). These measures are described in Annex 3.
- Owlix may update the security measures, provided that the level of protection is not reduced.
- At the User’s request, Owlix makes available the information needed to demonstrate compliance with this Article.
Article 10 – Audit
- The User has the right to verify compliance with the DPA – either themselves or through an independent auditor bound by confidentiality.
- In the first instance, Owlix makes available the documentation, reports and certificates it holds. An on-site audit is justified where that documentation does not provide sufficient information.
- An audit takes place no more than once a year (other than following a Personal Data Breach), after at least two weeks’ notice, during working hours and in a manner that disrupts Owlix’s operations as little as possible.
- The costs of the audit are borne by the User. Owlix may charge the User the reasonable costs of its support during the audit, subject to prior agreement.
- The User provides Owlix with a copy of the audit report without delay after receiving it.
- The audit does not cover data of other Owlix customers or information covered by trade secrets.
Article 11 – Transfers outside the EEA
- Personal Data is processed in the European Union. The servers on which the User’s records are stored are located in Frankfurt (Germany), and document data recognition takes place in an EU region.
- Owlix does not transfer Personal Data outside the European Economic Area without first informing the User and ensuring a basis provided for in Chapter V GDPR – in particular standard contractual clauses approved by the European Commission or an adequacy decision.
Article 12 – The User’s obligations
- The User declares that they have a legal basis for processing the data of the persons they enter into the application and that they have fulfilled the information obligation towards them.
- The User is responsible for the accuracy and currency of the data entered and for ensuring that the scope of the data does not go beyond what is necessary for maintaining their records.
- The User protects their login credentials and grants access to the account only to authorised persons.
- The User indemnifies Owlix against liability towards third parties to the extent that it arises from the User’s breach of the obligations in paragraphs 1-3.
Article 13 – Liability
- The Processing takes place under the responsibility of the User as controller.
- Owlix’s liability towards the User is limited on the terms set out in the Main Agreement.
- The limitations of liability do not apply to liability towards Data Subjects arising directly from Article 82 GDPR, or to damage caused intentionally or through gross negligence.
- The User informs Owlix of any claim relating to the processing of data without undue delay after becoming aware of it, so as to allow Owlix to take remedial action.
Article 14 – Duration and termination
- The DPA applies for the term of the Main Agreement and ends together with it.
- After the end of the Main Agreement, Owlix – at the User’s choice – returns the Personal Data or deletes it, within 30 days of the end of the Main Agreement. In the absence of an express choice, Owlix deletes the data after that period.
- Before the end of the Main Agreement, the User may export their data from the application themselves at any time.
- Owlix may retain Personal Data for longer only to the extent and for the period required by law; in that case Owlix informs the User of the legal basis. Such data remains subject to the obligations of confidentiality and security.
Article 15 – Final provisions
- Rights and obligations under the DPA may not be transferred to a third party without the written consent of the other party.
- If any provision proves to be invalid, the remaining provisions remain in force; the parties will replace it with a provision as close as possible to the original intention.
- If the European Commission or the Dutch data protection authority adopts standard contractual clauses as referred to in Article 28(7) and (8) GDPR, those clauses will replace any conflicting provisions of the DPA from the moment they enter into force.
- The DPA is governed by Dutch law; disputes are settled by the court in The Hague.
- The DPA is made available in Polish, Dutch and English. In the event of discrepancies, the Dutch version prevails.

Owlix does not ask for such data. If it happens to appear in a document uploaded by the User, it is stored solely as part of the User’s records and is not analysed or used for any other purpose.
